Privacy Policy

This Privacy Policy explains how ZenCru LLC ("ZenCru," "we," "us," or "our"), a California limited liability company, collects, uses, shares, and protects information in connection with the ZenCru platform, website, and related services (the "Service"). By using the Service, you agree to this Policy.Two groups of people are described in this Policy. "Clients" are our paying customers — the businesses that subscribe to ZenCru, connect their own social media accounts, and use the dashboard. "End Customers" are a Client's own customers or prospective customers — people who comment on or send messages to a Client's connected Instagram or Facebook account. End Customers never create a ZenCru account, never use the ZenCru interface, and have no direct relationship with ZenCru; ZenCru processes their information only because they interacted with a Client's business page, and only on that Client's behalf.

1. Who We Are

ZenCru provides an AI-powered social media automation platform for trade and service contractors. With respect to Client account data, ZenCru is the data controller. With respect to End Customer comments and messages, ZenCru acts as a service provider/processor on behalf of the Client whose account received them. We can be reached at [email protected].

2. What ZenCru Does Not Do

Because clarity matters, we want to state plainly what the Service does not do:ZenCru never sends SMS text messages to End Customers, under any circumstances.ZenCru never initiates contact with an End Customer. ZenCru only responds after an End Customer comments on or messages a Client's account first.ZenCru does not sell or rent Client or End Customer personal information, and does not share it with third parties for their own marketing.ZenCru does not use Client or End Customer data to train foundation AI models; data sent to our AI provider is used only to process that specific message or content.

3. Information We Collect

3.1 Information Clients Provide
Account and contact information: name, email address, phone number, business name, trade or industry, and login credentials.
Billing information: billing contact details and subscription plan. Card details are processed directly by our payment processor; we do not store full card numbers.Content: photographs and images of work, captions, business descriptions, services, and pricing the Client submits.Connected-account information: access tokens and account identifiers (such as the Client's Instagram Business Account ID) needed to publish content and manage comments and messages on the Client's behalf.3.2 Information We Process About End Customers
When an End Customer interacts with a Client's connected Instagram or Facebook account, ZenCru processes, on the Client's behalf:
Comment and message content: the text of comments left on the Client's posts and direct messages sent to the Client's account.Sender information as exposed by the platform: the commenter's or sender's platform username or platform-scoped user identifier.Lead details the End Customer chooses to provide: for example, the service requested, location, timeframe, and contact information shared in response to qualifying questions.3.3 Information Collected Automatically
Usage, device, and log data: actions taken in the Service, features used, timestamps, IP address, browser type, and device identifiers.
Cookies and similar technologies: used to keep Clients logged in, remember preferences, and understand how the Service is used. You can control cookies through your browser settings.

4. Meta Platform Data (Instagram and Facebook)

This section describes specifically how ZenCru collects and uses data obtained through Meta's platforms, in connection with the permissions ZenCru requests (such as instagrambusinessbasic, instagrambusinessmanagemessages, and instagrambusinessmanagecomments, and the corresponding Facebook Page permissions). It applies identically to Instagram and Facebook.4.1 What we collect and why
With the Client's authorization, ZenCru receives comments left on the Client's posts and direct messages sent to the Client's account, together with the sender information the platform exposes, and the Client's own business account identifier (used internally to route each message to the correct Client's dashboard). ZenCru uses this information solely to: generate an appropriate response on the Client's behalf; capture and score sales leads for the Client; and detect complaints so they can be routed to the Client for personal handling.
4.2 How automated responses work
Incoming messages are processed by our AI provider (Anthropic's Claude) to classify each message into a category such as buying-signal, compliment, complaint, or spam. ZenCru sends an automated reply only for buying-signal and compliment categories, using fixed or template language. ZenCru never sends automated promises about pricing, services, or availability that the Client has not configured, and ZenCru never auto-replies to a message identified as a complaint — complaints are paused and surfaced to the Client to handle personally. ZenCru only ever responds to a message an End Customer sent first; it never initiates contact.
4.3 Who can see it
Captured lead data and message content are visible to the Client whose account received them, in that Client's own dashboard. The Service is multi-tenant and isolated: Clients cannot see one another's leads or messages. ZenCru's systems process this data programmatically, and ZenCru does not, as a matter of routine practice, have staff manually read Client or End Customer messages.
4.4 TikTok and Google Business Profile are posting-only
ZenCru posts content to TikTok on a Client's behalf; ZenCru does not collect or process comments or messages on TikTok, and no lead capture occurs through TikTok. If and when Google Business Profile posting becomes available, it will be posting-only in the same way. The comment- and message-handling described in this section applies only to Instagram and Facebook.
4.5 Disconnecting and revoking access
A Client may disconnect Instagram or Facebook from ZenCru at any time using the in-app disconnect control, which immediately halts all ZenCru API activity on that account. A Client may also revoke ZenCru's access directly through their own Meta Business Suite settings, independently of ZenCru. Disconnecting stops further processing; data already collected is retained according to Section 7 unless the Client separately requests deletion.

5. How We Use Information

We use information to: provide, operate, maintain, and improve the Service; process Client Content through AI to generate captions and content; publish content to connected platforms; classify and respond to comments and messages and capture leads as described above; process subscriptions and payments; communicate with Clients about their account, support, and (where permitted) updates; secure the Service and prevent fraud and abuse; and comply with legal obligations and enforce our Terms.

6. SMS Communications to Clients

ZenCru's only SMS use case is an optional transactional notification to a Client — never to an End Customer. A Client who opts in may receive a text alert when a new qualified lead arrives. This is the sole purpose for which ZenCru sends SMS; ZenCru does not send marketing text messages. Clients who opt in can opt out at any time by replying STOP to any such message or by changing their notification settings, and ZenCru does not share Client mobile numbers or SMS opt-in consent with third parties for their own marketing. Message frequency varies based on lead activity in your account. Message and data rates may apply. Reply HELP for help or STOP to cancel at any time. SMS notifications require carrier registration (A2P 10DLC), which ZenCru is in the process of completing; until that registration is approved, equivalent notifications are delivered by email to the Client's registered email address.

7. How We Share Information

7.1 Service Providers (Sub-processors)
We use trusted third parties to operate the Service, including providers for AI classification and content generation, cloud hosting and file storage, database and backend infrastructure, social media publishing, customer-relationship and messaging automation, payment processing, and communications. These providers may access personal information only to perform services for us and are bound by confidentiality and data-protection obligations. Message content processed for classification is sent to our AI provider as a processor for that purpose only, not as a recipient for its own marketing. 7.2 Connected Platforms
When a Client publishes content or responds to messages, we transmit the relevant content to the platforms the Client has connected, at the Client's direction. Those platforms handle information under their own privacy policies.
7.3 Legal and Protection; Business Transfers
We may disclose information if required by law or legal process, or where we believe disclosure is necessary to protect the rights, property, or safety of ZenCru, our users, or others, or to investigate fraud or security issues. If ZenCru is involved in a merger, acquisition, financing, or sale of assets, information may be transferred as part of that transaction, subject to this Policy.

8. Data Retention

We retain Client account information and Client Content for as long as the account is active and as needed to provide the Service. Lead and message data captured through Instagram or Facebook is retained for up to twenty-four (24) months after the last activity on that lead, or until the Client deletes it through the dashboard, or until the Client closes their account — whichever occurs first — after which it is deleted within thirty (30) days. We may retain limited information longer where required for legal, accounting, security, or dispute-resolution purposes.

9. Security

We use reasonable administrative, technical, and organizational measures designed to protect personal information, including access controls and multi-tenant data isolation between Client accounts. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security. Clients are responsible for keeping their login credentials confidential.

10. Data Breach Notification

ZenCru relies on third-party infrastructure providers to store and process data on our behalf. As the business that collects this information, ZenCru remains responsible for notifying affected individuals of a qualifying security incident, whether the incident occurs in our own systems or in a provider's systems. If we become aware of a breach of security that compromises the personal information we control, we will investigate promptly and notify affected Clients, and where applicable affected individuals and regulators, without unreasonable delay and as required by applicable law, including California Civil Code section 1798.82. Notice will describe, to the extent known, the nature of the incident, the types of information involved, and the steps individuals can take.

11. Your Privacy Rights

11.1 California Residents (CCPA/CPRA)
If you are a California resident, you have the right to know what personal information we collect and how we use and share it, to request access to and deletion of your personal information, to correct inaccurate information, and not to be discriminated against for exercising these rights. We do not sell or share personal information for cross-context behavioral advertising as those terms are defined under California law. To exercise these rights, contact us at [email protected]; we will verify your request before responding and respond within the time required by law, and you may use an authorized agent. End Customers who wish to exercise rights regarding data processed through a Client's account may contact us, and we will assist the relevant Client in responding as required by law.
11.2 Other Rights

12. Health Information

The Service is intended for trade, service, and non-medical wellness businesses and is not designed to collect or process protected health information (PHI) as defined under HIPAA. Clients represent that they are not HIPAA-covered entities and do not use the Service to transmit PHI. ZenCru does not act as a HIPAA Business Associate unless separately agreed in writing. If you believe PHI has been transmitted through the Service, contact us at [email protected] so we can address it.

13. Children's Privacy

The Service is intended for businesses and is not directed to children under 18. We do not knowingly collect personal information from children. If you believe a child has provided us personal information, contact us and we will take appropriate steps to delete it.

14. Third-Party Links and International Users

The Service may link to or integrate with third-party websites and services we do not control, and this Policy does not apply to them. The Service is operated from the United States, and information we collect is processed and stored in the United States. If you access the Service from outside the United States, you understand that your information will be transferred to and processed in the United States, where data-protection laws may differ from those in your location.

15. Changes to This Policy

We may update this Privacy Policy from time to time. If we make material changes, we will provide notice through the Service or by email and update the Effective Date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Policy.

Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Client") and ZenCru LLC, a California limited liability company (California Entity No. B20260280521) ("ZenCru," "we," "us," or "our"). They govern your access to and use of the ZenCru platform, website, and related services (collectively, the "Service").Defined terms used throughout: "Client" means you, the business or individual that subscribes to and uses the Service. "End Customer" means a Client's own customer or prospective customer — a person who comments on, messages, or otherwise interacts with a Client's connected social media account. End Customers do not have a ZenCru account and do not contract with ZenCru.PLEASE READ THESE TERMS CAREFULLY. SECTION 15 CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. By creating an account, clicking "I agree," or otherwise accessing or using the Service, you accept these Terms. If you do not agree, do not use the Service.

1. The Service

ZenCru provides an AI-powered social media automation platform built for trade and service contractors. The Service allows a Client to upload photographs and related materials, uses artificial intelligence to generate captions and content, and publishes that content to the third-party platforms the Client connects (currently Instagram, TikTok, Facebook, and, when available, Google Business Profile). For Instagram and Facebook, the Service also helps Clients manage incoming comments and messages from End Customers, as described in Section 6 and in our Privacy Policy.We may add, modify, or remove features at any time. Certain features depend on third-party platforms that are outside our control and may change or become unavailable.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business, you represent that you are authorized to bind that business, and "you" includes that business. You are responsible for safeguarding your account credentials and for all activity under your account, and you agree to provide accurate information and keep it current.

3. Subscription Plans, Fees, and Billing

The Service is offered on a paid monthly subscription. Current plans and pricing are presented at sign-up and may change from time to time. Unless stated otherwise:
●Fees are billed in advance each month and are stated in U.S. dollars.
●Subscriptions automatically renew each billing period until cancelled.
●All fees are non-refundable except where required by law or as expressly stated in these Terms.
●You authorize us and our payment processor to charge your payment method for all applicable fees and taxes.
We use third-party payment processors and do not store full payment card numbers. If a payment fails, we may suspend or terminate access. We may change pricing on prospective renewals with reasonable advance notice; continued use after a change takes effect constitutes acceptance.

4. Advertising Services and Ad Spend

Certain plans include management of paid advertising campaigns on third-party platforms. You understand and agree that:
●All advertising spend is funded through your own advertising accounts and payment methods (for example, your own Meta advertising account). ZenCru does not advance, hold, collect, or pay your ad spend.
●You set and control your advertising budget through the Service. You grant ZenCru authority to create, manage, optimize, pause, resume, or stop campaigns within the budget parameters you set, acting as your agent for that limited purpose. AI assists with creative content; it does not decide your budget or spending amounts — those are always set by you.
●You retain full control of your campaigns at all times and may pause, resume, or stop them through the Service or directly through the platform's own tools.
●Advertising results depend on many factors outside our control, and we make no guarantee of any particular advertising outcome. You remain responsible for compliance with each platform's advertising policies.

5. Client Content and License

"Client Content" means the photographs, images, text, business information, services, pricing, and other materials you submit to the Service. As between you and ZenCru, you retain all ownership of Client Content.You grant ZenCru a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for example, resizing or format conversion), process, transmit, and display Client Content for the purpose of operating and providing the Service, including publishing content to the platforms you connect and providing it to the AI and infrastructure providers described in our Privacy Policy. This license continues while Client Content is stored in or processed by the Service.You represent and warrant that you own or have all rights necessary to submit Client Content and grant this license, and that Client Content, and our authorized use of it, does not infringe or violate any third party's rights. You are solely responsible for obtaining any consents needed to post images depicting identifiable people, private property, or third-party trademarks or copyrighted works.

6. Comment and Message Automation (Instagram and Facebook)

If you connect an Instagram or Facebook account, the Service can help you respond to comments and direct messages that End Customers send to that account. You authorize ZenCru to access those comments and messages, on your behalf, in order to provide the Service. The following principles govern this feature and are described in more detail in our Privacy Policy:
●Response only, never initiation. ZenCru only acts after an End Customer comments on or messages your account first. ZenCru never initiates contact with an End Customer who has not contacted you.
●No automated SMS to End Customers. ZenCru never sends text messages (SMS) to End Customers under any circumstances.
●Limited, template-based replies. Automated replies use fixed or template language. ZenCru does not generate promises about pricing, services, or availability you have not configured, and it does not auto-reply to messages it identifies as complaints — those are surfaced to you to handle personally.
●Your control. You can adjust automation settings, review and delete captured lead data, and disconnect your Instagram or Facebook account from ZenCru at any time, which immediately halts ZenCru's activity on that account.
You are responsible for your connected accounts and for ensuring your use of this feature complies with the terms and policies of Instagram, Facebook, and Meta.

7. Review Link Sharing

The Service provides tools to help you request reviews from your own End Customers, including a shareable review link and QR code. ZenCru generates these materials; you decide whether, when, and how to share them. ZenCru does not send messages to your End Customers on your behalf through this feature. You are solely responsible for how you share your review link and for complying with all laws applicable to your own communications with your End Customers, including the manner in which you obtain their agreement to be contacted.

8. AI-Generated Content

The Service uses artificial intelligence to classify incoming messages and to generate captions and template-based content ("Generated Content"). AI output can be inaccurate, incomplete, or unsuitable. You are responsible for reviewing Generated Content, including published captions, before relying on it, and for ensuring it is accurate, lawful, and appropriate for your business. AI does not make autonomous financial decisions and does not initiate contact with anyone.To the extent permitted by applicable law and our AI providers' terms, ZenCru assigns to you its rights, if any, in Generated Content created specifically for you. We make no representation that Generated Content is original, and identical or similar content may be generated for other Clients.

9. Automated Publishing and Third-Party Platforms

The Service publishes content on your behalf to the platforms you connect. By connecting a platform account, you authorize ZenCru to access that account and post on your behalf, and you agree to comply with that platform's terms. We are not responsible for the acts, policies, downtime, moderation decisions, account suspensions, or other actions of any third-party platform. You acknowledge that automated posting carries inherent risks, including mis-timed, duplicated, or incorrectly formatted posts, and that platform APIs may change or fail. ZenCru is not liable for consequences arising from third-party platform behavior or from content published at your direction.

10. Acceptable Use

You agree not to use the Service to upload, generate, or publish content, or to engage in conduct, that:
●Is unlawful, fraudulent, defamatory, harassing, hateful, or infringing;
●Violates the rights or privacy of others, including your End Customers, or depicts identifiable individuals without required consent;
●Contains malware or attempts to disrupt, probe, or gain unauthorized access to the Service or related systems;
●Misrepresents your identity, business, or affiliation, or is intended to deceive consumers;
●Violates the terms or policies of any connected third-party platform, including Meta's platform policies; or
●Attempts to reverse engineer, scrape, resell, or build a competing product from the Service.
We may, but are not obligated to, monitor use of the Service, and we may remove content or suspend accounts we reasonably believe violate these Terms.

11. Intellectual Property in the Service

The Service, including its software, design, text, graphics, logos, and the "ZenCru" name and marks, is owned by ZenCru or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. All rights not expressly granted are reserved. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

12. Third-Party Services and Beta Features

The Service relies on and integrates with third-party services, including Meta's platforms, and your use of those services may be subject to their own terms. We are not responsible for them. We may offer features identified as beta, preview, or planned, which are provided "as is," may be unstable, and may be modified or discontinued at any time.

13. Disclaimers

THE SERVICE AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, ZENCRU DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT IT WILL PRODUCE ANY PARTICULAR BUSINESS, MARKETING, OR ADVERTISING RESULT.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZENCRU AND ITS OWNER, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ZENCRU'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO ZENCRU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

15. Dispute Resolution; Binding Arbitration; Class-Action Waiver

Please read this section carefully. It affects your legal rights.15.1 Informal Resolution
Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally for at least sixty (60) days after written notice describing the dispute.
15.2 Binding Arbitration
Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by a recognized arbitration provider under its applicable commercial rules, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. The arbitration will be conducted in or near Riverside County, California, or by videoconference, unless you and ZenCru agree otherwise.
15.3 Class-Action Waiver
YOU AND ZENCRU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.
15.4 Exceptions and Opt-Out
Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information. If the class-action waiver is found unenforceable as to a particular claim, that claim alone will be severed and may proceed in court. You may opt out of this arbitration agreement by sending written notice within thirty (30) days of first accepting these Terms to the contact address below, stating your name and intent to opt out.

16. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provisions above, you and ZenCru agree to the exclusive jurisdiction and venue of the state and federal courts located in Riverside County, California for any matter not subject to arbitration.

17. Term, Suspension, and Termination

These Terms remain in effect while you use the Service. You may cancel at any time through your account or by contacting us; cancellation takes effect at the end of the current billing period, and you will not be charged for subsequent periods. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, fail to pay, or if we reasonably believe suspension is necessary to protect the Service or others. Upon termination, your license to use the Service ends, and we may delete Client Content and associated data in accordance with our Privacy Policy. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

18. Health Information and HIPAA-Covered Entities

The Service is designed for trade, service, and non-medical wellness businesses. It is not intended for, and you may not use it to transmit, store, or process, protected health information ("PHI") as defined under the Health Insurance Portability and Accountability Act ("HIPAA") or other health-privacy laws.You represent and warrant that you are not a HIPAA-covered entity, and that you do not use the Service to diagnose, treat, or provide therapy for medical conditions, to perform medical or cosmetic-medical procedures, or to employ licensed medical professionals to provide care through the connected accounts. If your business is a healthcare provider or otherwise handles PHI, you must not enroll in or use the standard Service, and should instead contact ZenCru about separate healthcare onboarding.ZenCru is not a "Business Associate" within the meaning of HIPAA, and nothing in these Terms creates a business-associate relationship, unless ZenCru and you have separately entered into a written Business Associate Agreement. You are solely responsible for your own compliance with HIPAA and all other laws applicable to your business, and you agree to indemnify ZenCru for any claim arising from your transmission of PHI through the Service in breach of these Terms.

19. Indemnification

You agree to defend, indemnify, and hold harmless ZenCru and its owner, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Client Content; (b) your use of the Service; (c) your violation of these Terms or of any law or third-party right; (d) content published, or messages or reviews requested, at your direction; (e) your communications with your End Customers; or (f) your advertising campaigns and ad spend.

20. Changes to These Terms
